Terms of Service

These Terms of Service (the "Terms") govern your use of the Agba Bookings platform (the "Platform") operated from Nigeria by Agba Bookings("we", "us", "our"). By creating an account, ticking the acceptance checkbox at signup, or using the Platform, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Platform.

1. Who can use the Platform

You must be at least 18 years old and legally able to enter into a contract. If you sign up on behalf of a business, you confirm you are authorised to bind that business to these Terms.

2. What the Platform does

We provide booking pages, a dashboard, and a payments orchestration layer that lets a Business accept appointments and online payments from its Customers. We are not a bank, payment institution, deposit-taker or financial advisor. Card and bank-transfer payments are processed and held by our licensed payments partner, Paystack, who is regulated by the Central Bank of Nigeria. Funds never enter our own bank account; they sit in our Paystack balance and are paid out to the Business's own bank account via Paystack Transfers.

3. Your account

  • You must give accurate, up-to-date information at signup and keep it current.
  • You are responsible for keeping your password confidential and for all activity under your account.
  • We may require you to verify your email and submit a business document (CAC certificate, government ID, utility bill or tenancy agreement) before your public booking page goes live. We may reject submissions that are unclear, expired, or do not match your account.
  • We may suspend or close any account that breaches these Terms, is used for unlawful activity, or poses a risk to Customers, other Businesses, our payments partner, or us.

4. Subscription plans and trial

  • New accounts get a 7-day free trial on the Starter plan.
  • After the trial, you must subscribe to a paid plan to continue accepting bookings. Plan fees are charged monthly via Paystack subscriptions and renew automatically until cancelled.
  • You can cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period; we do not pro-rate refunds for unused time.
  • We may change subscription pricing on 30 days' notice via email. If you do not agree, you can cancel before the new price takes effect.

5. Payments, escrow, fees and payouts

How a payment flows

  1. Customer pays for a booking via Paystack (card or bank transfer).
  2. The payment is held in escrow (in our Paystack balance) until the Business accepts or declines the booking.
  3. If the Business accepts, the booking is confirmed. The funds remain in escrow — they are not yet queued for payout.
  4. When the Business marks the booking completed, we email the Customer asking them to confirm the service was actually delivered. Only once the Customer confirms — or 24 hours pass without a response, in which case we assume it went fine — is the Business's share queued for payout to the bank account on file. For group bookings, every participant must confirm their own appointment before that booking's share is released.
  5. If the Customer instead says the service was not delivered as reported, the booking is marked "disputed": the funds stay exactly where they are (no automatic release or refund) and the Business is notified to resolve it directly with the Customer. Once resolved, the Business can re-send the confirmation request from their dashboard to restart the process.
  6. If the Business declines, the Customer is automatically refunded in full via Paystack.

Fees

  • We charge the Business a platform commission of 2.5% of each booking, capped at ₦1,000 per booking. We may change this rate on 30 days' notice.
  • Paystack's collection fee and the payout transfer fee are added on top of the booking price as a transparent customer surcharge, shown at checkout. The Business therefore receives the full booking price; our commission and Paystack's fees do not erode it.
  • The Business must keep accurate payout bank details in Settings. We are not responsible for delays or losses caused by incorrect details supplied by the Business.

Payout timing

The Business can choose Instant, Daily, Weekly, or Monthly payouts. Even on "Instant," the time from Customer payment to money landing in the Business's bank account depends on Paystack's settlement cycle:

  • Card payments typically settle to us next business day, so funds arrive in the Business's bank within roughly 24 hours of acceptance.
  • Bank-transfer payments usually clear within minutes, so payouts often arrive the same day.

We do not advance funds to the Business before Paystack has settled them to us.

Refunds

  • If a Business declines a booking, the Customer is refunded in full automatically.
  • If a Customer requests a refund after a booking has been confirmed, the Business may approve or decline it. Where funds are still held in escrow or available for payout, an approved refund is processed automatically via Paystack. Where funds have already been paid out to the Business, the Business is responsible for settling the refund with the Customer directly.
  • Refunds may take several business days to appear on the Customer's card or bank statement.
  • Paystack may retain its processing fee on refunded transactions, which the platform may absorb.

6. Business obligations

By using the Platform as a Business, you commit to:
  • operate a lawful business, hold any licences your trade requires, and accurately describe your services and prices;
  • honour bookings you accept, on the date, time and price the Customer paid for;
  • handle Customer personal data lawfully and only for the purpose of fulfilling the booking;
  • not use the Platform to launder money, defraud Customers, process payments for someone else, or engage in any activity prohibited by Paystack or by Nigerian law (including but not limited to: illegal gambling, unregulated financial services, counterfeit goods, sale of prohibited substances, hate or terror content, adult services that contravene local law);
  • respond promptly to Customer messages, disputes and refund requests;
  • keep your payout bank details correct and up to date.

7. Customer obligations

By booking through the Platform as a Customer, you commit to:
  • provide accurate contact details so the Business can reach you;
  • arrive on time for booked appointments and follow the Business's own policies (cancellation windows, etc.);
  • not use the Platform to harass Businesses, submit fraudulent payments or chargebacks, or otherwise abuse the booking system.

The contract for the service you book is between you and the Business. We are not a party to that service contract and we do not deliver the underlying service.

8. Prohibited use

You may not use the Platform to:
  • break any law or third party's rights;
  • circumvent the booking, payment or fee logic of the Platform (e.g. taking payment off-platform to avoid commission);
  • upload malicious code, scrape, spam, brute-force credentials, or otherwise interfere with the Platform's integrity or availability;
  • impersonate another person or business, or create accounts using false information;
  • use the Platform to launder money or finance prohibited activity.

Breach of this section may result in immediate suspension, account closure, forfeiture of pending payouts pending investigation, and referral to law enforcement.

9. Intellectual property

We own the Platform, its source code, design, brand, name and logos. You retain ownership of the content you upload (logos, banners, descriptions, services). You grant us a non-exclusive, royalty-free licence to host, display and process your content solely to operate the Platform.

10. Service availability and changes

We work to keep the Platform available but do not guarantee uninterrupted service. We may add, change, suspend or remove features at any time. For changes that materially reduce functionality you rely on, we will give reasonable notice.

11. Disclaimers

The Platform is provided as is and as available. We do not guarantee that bookings will result in completed services, that Businesses will perform as advertised, or that Customers will show up. We are not responsible for the quality, safety, legality or accuracy of any service booked through the Platform.

Payment processing is performed by Paystack under their own terms; we are not liable for losses arising from Paystack outages, settlement delays beyond our control, or actions taken by Paystack against your account.

12. Limitation of liability

To the maximum extent permitted by law, we, our directors, employees and contractors are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, data or business opportunity arising out of your use of the Platform. Our total aggregate liability for any claim is limited to the greater of (a) the platform fees you paid us in the six months before the event giving rise to the claim, or (b) ₦50,000.

13. Indemnity

You agree to indemnify and hold us harmless from any claim, loss or expense (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) services you provide or receive through the Platform; (c) any dispute between a Business and a Customer; and (d) any unlawful, fraudulent or negligent act on your part.

14. Suspension, termination and account closure

  • You can close your account at any time from your dashboard or by contacting us.
  • We can suspend or close any account that breaches these Terms, is used for unlawful or fraudulent activity, or that Paystack has flagged.
  • On closure, any earnings already settled to your Paystack-side wallet that you are clearly entitled to will be paid out to your bank account. Pending escrowed payments will be refunded to the Customer or paid out as the relevant bookings resolve.
  • Sections that by their nature should survive termination (fees owing, indemnities, limitations of liability, dispute resolution) survive.

15. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects when they last changed. For material changes, we will notify account holders by email or via the dashboard at least 30 days in advance. Your continued use of the Platform after the change takes effect means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute that cannot be resolved informally within 30 days will be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria. Nothing in this clause limits any consumer right you have that cannot be waived under Nigerian law.
